This is a legally binding contract between you and Sutra. Please read it carefully — it's important. We've tried to make it as clear as possible, and we welcome your feedback at support@sutra.co.
1. Definitions
We use some shorthand to make this easier to read. When we say "site" or "Services," we mean sutra.co, the Sutra mobile application, and the services offered through them. When we say "we," "us," "our," or "Sutra," we mean Sutra Spaces LLC, a Delaware limited liability company. When we say "space," we mean a learning space or community hosted on Sutra. When we say "your content," we mean any text, sound, graphics, or other material that you post, upload, or otherwise share through the Services. When we say "Sutra content," we mean the copyrightable text, sound, graphics, and other material owned by Sutra. And when we say "terms," we mean these terms of service.
2. Accepting these terms
Please read these terms before using the Services. If you do not agree to these terms, you may not register for or use the Services. We may update these terms from time to time. If we make material changes, we'll provide notice through the Services or by email (at the address you provide) before they take effect. Your continued use of the Services after an update takes effect means you accept the updated terms. If you don't agree to a change, you may stop using the Services and cancel your account as described in Section 12.
3. Privacy and data protection
When you register, you provide certain personal information, including your name and email address. How we collect, use, and share personal information is described in our Privacy Policy. In short: we use your information to provide and improve the Services, to communicate with you, and to keep the Services secure; we rely on third-party providers (such as cloud hosting, payment processing, email delivery, analytics, advertising, and AI providers) to do this; and we do not use your content to train third-party AI models. Our Privacy Policy describes how we use advertising cookies and the choices you have. The current list of providers that process data on our behalf is at sutra.co/subprocessors.
If you use the Services on behalf of an organization, or to process personal data subject to the EU/UK GDPR or the Swiss FADP, our Data Processing Addendum ("DPA") is incorporated into and forms part of these terms by reference. By accepting these terms or using the Services, you accept the DPA on behalf of the organization on whose behalf you are using the Services. The DPA prevails over these terms with respect to the processing of personal data subject to those laws. If you require a wet-signed copy, contact support@sutra.co.
4. Permitted users
Sutra is designed for use by adults. You must be at least thirteen (13) years old to use it. If we learn that we have collected personal information from a child under thirteen, we will delete it as quickly as possible; if you believe a child under thirteen has provided us information, contact us at support@sutra.co. When you use the Services, you represent that you have the legal capacity to enter into this contract, and that you will comply with these terms.
5. Copyright and intellectual property
We own our stuff; you own yours.
You retain ownership of all content you post, upload, or otherwise share through the Services. By posting, uploading, or sharing your content, you grant us a non-exclusive, sub-licensable, royalty-free, worldwide license to access, use, host, store, reproduce, modify (for technical purposes such as formatting and transcoding), and display your content in connection with providing the Services to you — including, where you use AI-assisted features, processing your content as described in Section 6. This license lets us perform the Services you registered for (for example, storing your content on redundant servers); it does not permit us to sell your content or display it other than to those you've authorized, and it does not transfer copyright to us. This license ends when you delete the content or your account, except that content you contributed to others' spaces may remain (see below), and copies may persist in routine backups for a limited period.
The Services let you share your content with others, who may be able to copy, modify, and re-share it. Please consider carefully what you share and with whom; we take no responsibility for that activity.
When you delete your account, comments or content you contributed to someone else's space may remain on the Services and may not be deleted.
All Sutra content — and the selection, arrangement, and presentation of materials and the overall design of the Services — is owned by us and protected by US and international law. Use of our content without our prior written permission is prohibited. "Sutra," "Sutra Spaces," and the Sutra logo are trademarks of Sutra Spaces, LLC, and may not be used without our written permission.
6. AI features
The Services include AI-assisted features — for example, AI-assisted answers and search across content in a space, AI-assisted creation of courses, pages, and content, and transcription of audio and video you provide. By using these features, you agree to the following.
- Processing your content. To provide AI features, we (and our AI providers) process the content you submit to those features — such as your prompts, the content of the relevant space, and files, URLs, or media you provide. We use AI providers (currently OpenAI and Anthropic, with related services such as Chroma and Deepgram) under their commercial/API terms. We do not use your content to train third-party AI models, and our AI providers do not use your inputs or outputs to train their models under those terms. The current list is at sutra.co/subprocessors. You can exclude your own contributions from Sutra's AI (Cobolt) at any time in your account settings under AI & Privacy (sutra.co/settings/account).
- Outputs. As between you and Sutra, you may use the content the AI features generate for you ("outputs") in connection with your use of the Services, subject to these terms and to the AI providers' terms. Due to the nature of machine learning, outputs may not be unique, and similar outputs may be generated for others; we make no claim of ownership over your outputs and grant you whatever rights in them we are able to pass through from our providers.
- Your responsibility. AI outputs may be inaccurate, incomplete, or out of date, and are not professional (including legal, medical, or financial) advice. You are responsible for reviewing and evaluating outputs before relying on, sharing, or publishing them, and for ensuring your use of AI features and outputs complies with applicable law and these terms.
- Acceptable use. You may not use the AI features to generate content prohibited by Section 8, to violate any AI provider's usage policies, or to develop or train a competing AI model or service where doing so would violate a provider's terms.
7. DMCA
Sutra deals with copyright infringement in accordance with the Digital Millennium Copyright Act (DMCA).
You may not post, upload, or otherwise place any content on the Services that belongs to a third party unless you have the legal right to do so. If you believe infringing content has been posted, please send a notice of copyright infringement containing the following to the designated agent below:
- A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
- Identification of the copyrighted work claimed to have been infringed (or a representative list).
- Identification of the material claimed to be infringing and information reasonably sufficient to let us locate it.
- Contact information for the notifying party (name, address, telephone number, email).
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement that the information in the notification is accurate, and, under penalty of perjury, that you are authorized to act on behalf of the owner.
Upon notification, we will respond expeditiously to remove or disable access to the material, and will notify the person who posted it. If you believe material was removed improperly, you may send a written counter-notification to the agent including: a signature; identification of the removed material and its prior location; a statement under penalty of perjury that you have a good-faith belief the material was removed as a result of mistake or misidentification; and your name, address, and telephone number, with a statement consenting to the jurisdiction of the appropriate Federal District Court and to accept service of process from the original notifier. Upon receipt of a compliant counter-notification, we will provide a copy to the original reporter and may restore the material if we don't receive notice within ten business days that they are seeking a court order.

8. Sutra rules
Sutra is designed to help people collaborate and learn together. You agree not to do any of the following:
- Threaten other users with violence.
- Use hateful, abusive, harassing, libelous, or obscene language toward other users.
- Post material that infringes or violates any third party's copyright, trademark, trade secret, privacy, or other proprietary right.
- Post material that promotes illegal activity, could constitute a criminal offense, give rise to civil liability, or otherwise violate applicable law.
- Use the Services to send spam, chain letters, or unsolicited mass email.
- Use the Services to distribute viruses or other harmful or destructive files.
- Use or attempt to use another person's account, or impersonate another person.
- Disrupt or interfere with the security of, or otherwise abuse, the Services or any connected servers or networks, or attempt to gain unauthorized access.
- Share with any minor any content inappropriate for children, or allow any minor access to such content.
- Systematically harvest data from the Services, or programmatically register accounts.
You are responsible for your actions in relation to the Services and for any communications under your account, and you agree to comply with all applicable laws, including those relating to privacy, data collection, export, and email. If it appears you've violated these rules, we may, in our sole discretion, remove offending material or limit or terminate your account.
9. Processing payments
Payment processing for creators on Sutra is provided by Stripe and is subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (the "Stripe Services Agreement"). By accepting these terms or continuing to operate as a creator on Sutra, you agree to be bound by the Stripe Services Agreement, as it may be modified by Stripe from time to time. As a condition of Sutra enabling payment processing through Stripe, you agree to provide accurate and complete information about you and your business, and you authorize Sutra to share it and related transaction information with Stripe.
10. Use of YouTube API Services
Sutra uses YouTube API Services to integrate video content into the platform. By using our Services, you agree to be bound by the YouTube Terms of Service, and your use of YouTube API Services through Sutra is subject to the Google Privacy Policy.
As part of our integration with YouTube API Services, we: access and use them in compliance with YouTube's Developer Policies; store and process data obtained via YouTube APIs only as permitted by YouTube's terms and policies; and do not share or distribute YouTube API data except as allowed by YouTube's policies. We do not collect or store sensitive personal data from YouTube API Services beyond what is necessary to deliver our Services. If you have questions about our use of YouTube API Services, review our Privacy Policy or contact support@sutra.co.
11. Canceling your account
You can cancel your account at any time from your account settings, or by emailing support@sutra.co. If you like, you may request an export of your content before canceling by emailing support@sutra.co. After cancellation, we may retain certain information as described in our Privacy Policy, and content you contributed to others' spaces may remain.
12. Disclaimer of warranties
We will strive to prevent interruptions to the Services and to be good stewards of your data. However, the Services are provided on an "as is" and "as available" basis. We disclaim all warranties of any kind, whether express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free, or that defects will be corrected. Without limiting the foregoing, AI-assisted features and their outputs are provided "as is," may be inaccurate or incomplete, and are not a substitute for professional judgment; you use them at your own discretion and risk. You obtain content or services through the Services at your own discretion and risk.
13. Limitations of liability
Under no circumstances — including negligence — will we be liable for any direct, indirect, incidental, special, or consequential damages resulting from (1) the use of or inability to use the Services; (2) the cost of procuring substitute goods and services; (3) unauthorized access to or alteration of your data; or (4) loss of profits, use, data, or other intangibles, even if we have been advised of the possibility of such damages. The foregoing will not apply to the extent prohibited by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless us, our officers, directors, employees, members, partners, agents, and suppliers, and their respective affiliates, from any and all claims and expenses, including attorneys' fees, arising out of your use of the Services, including your violation of these terms. We may, at our sole discretion, assume the exclusive defense and control of any matter subject to indemnification by you; doing so does not excuse your indemnity obligations.
15. Right to terminate
We may at any time alter, amend, modify, or terminate the Services, or any functionality or portion of them, in our sole discretion, and there is no guarantee that the Services or any functionality will continue to operate or be available for any particular period.
16. General
These terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-law provisions. You agree to bring any claim arising out of your use of the Services in the state or federal courts located in New Castle County, Delaware, and you submit to the personal and exclusive jurisdiction of those courts. Any claim arising out of your use of the Services or these terms must be filed within one year after it arose, or it is forever barred. If any provision is found unenforceable, it will be severed and replaced with a provision that most closely reflects the original intent, and the remaining provisions remain in effect. No waiver is effective unless in a writing signed by us. No joint venture, partnership, employment, or agency relationship is created by these terms. You may not assign any right under these terms without our prior written consent. These terms (together with the documents they incorporate, including the DPA and Privacy Policy) are the entire agreement between you and us regarding the Services and supersede prior communications and proposals. A printed version of these terms and any electronic notice will be admissible in judicial or administrative proceedings to the same extent as other business records.
